This is a starting template and not legal advice. Have it reviewed and finalized by counsel before relying on it.
These Terms govern your access to and use of the Evermarkplatform (the "Service"). By creating an account or using the Service, you agree to these Terms on your own behalf and on behalf of the firm you represent. If you do not agree, do not use the Service.
The Service is intended for licensed attorneys and their authorized staff. You represent that you have authority to bind your firm to these Terms. You are responsible for all activity under your firm's accounts, for keeping credentials secure, and for the professional use of any documents you generate.
Evermark is software. It does not provide legal, tax, or financial advice, and it is not a substitute for the professional judgment of a licensed attorney. Portions of the Service use artificial intelligence, and AI output can be incomplete or incorrect. Generated documents and analyses are drafts only. You are solely responsible for reviewing, correcting, and approving every document before it is executed or relied on, and for compliance with your professional obligations.
Paid plans are billed in advance through our payment processor, either monthly or yearly. Yearly plans are discounted at least 15% against twelve monthly payments. Subscriptions renew automatically at the end of each billing period until cancelled. New accounts may start with a 30-day free trial; no payment method is needed to start. If a payment method is on file when the trial ends, the trial converts to a paid subscription unless cancelled first; otherwise the subscription simply ends. Plan volume limits apply as described on the pricing page.
You can cancel at any time from the billing page; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, fees already paid, including the unused remainder of a yearly term, are not refunded. We may change prices with at least 30 days' notice; changes apply from your next renewal.
You and your firm retain ownership of the client information and content you enter. You grant us a limited license to host, process, and display that content solely to provide the Service. You are responsible for obtaining any consents required to process your clients' information through the Service, including its AI features. After termination you may export your data for a reasonable period, after which we may delete it as described in the Privacy Policy.
You agree not to misuse the Service, including by attempting to access other firms' data, probing or disrupting the Service, reselling access, scraping, reverse engineering, or using the Service to violate any law or rule of professional conduct.
We own the Service, including its software, templates, designs, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription for your firm's internal business. Documents you generate for your clients are yours to use in your practice.
You may stop using the Service at any time. We may suspend or terminate access for material breach of these Terms, non-payment, or use that risks harm to the Service or others, with notice where practicable. Sections 4, 6, and 8 through 12 survive termination.
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service or its output will be accurate, uninterrupted, or error-free.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability arising out of the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or either party's indemnification obligations.
You will defend and indemnify us against third-party claims arising from your client engagements, the documents you finalize and deliver, your content, or your breach of these Terms or of applicable law or professional rules.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state and federal courts located in California have exclusive jurisdiction, and each party consents to venue there. Each party waives any right to a jury trial to the extent permitted by law.
We may update these Terms from time to time. For material changes we will give notice (for example, by email or in the app) at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is unenforceable, the rest remain in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale. Our failure to enforce a provision is not a waiver.
